Terms of Service

1. ACCEPTANCE OF TERMS
By creating an account, accessing the API, or using the services provided by Waitcenter ("Service," "we," "us," or "our"), you ("Customer," "User," or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
If you do not agree to all the terms and conditions of this agreement, you may not use the Service.
2. DESCRIPTION OF SERVICE
Waitcenter is a "Status-as-a-Service" platform that allows organizations to manage workflows, track entity statuses (e.g., orders, repairs, services), and display these statuses to end-users via dashboards, APIs, and hosted status pages.
2.1. Beta Features
Certain features of the Service (including but not limited to Real-Time WebSockets, Geolocation/Map tracking, and Predictive ETA) may be designated as "Beta." We make no warranties regarding the stability or functional correctness of Beta features.
3. USER OBLIGATIONS & RESTRICTIONS
3.1. Strict Prohibition on PII in Status Payloads
To ensure privacy and security, you strictly agree NOT to insert, store, or transmit Personally Identifiable Information (PII) within status names, metadata, internal notes, or public descriptions.
- Allowed: System identifiers (e.g., Order #12345, Ticket #8821), generic descriptions (Waiting for Parts).
- Prohibited: Names (John Smith), Emails, Phone Numbers, Home Addresses, Medical Record Numbers, or specific health data.
Violation of this clause results in immediate breach of contract, and Waitcenter accepts no liability for data leaks resulting from your failure to sanitize payload data.
3.2. Critical Operations Restriction
You acknowledge that the Service is not designed for, and must not be used for, fail-safe or life-critical operations. You may not use Waitcenter for emergency services (e.g., 911/112 dispatch), medical life-support monitoring, or any application where a delay or error in status could lead to death, personal injury, or environmental damage.
3.3. Account Security
You are responsible for maintaining the security of your account credentials, API Keys, and "Magic Links." If a Magic Link is shared by you or your end-users, anyone with that link may view the status. Waitcenter is not liable for unauthorized access resulting from compromised keys or shared links.
4. CONTENT AND ACCURACY
4.1. No Warranty on Status Accuracy
Waitcenter acts solely as a conduit for the information you provide. We do not verify, validate, or monitor the accuracy, sequencing, or timeliness of status updates. You are solely responsible for ensuring that the status displayed (e.g., "Completed," "In Progress") reflects reality. We are not liable for any disputes arising between you and your customers regarding incorrect status information.
4.2. Customer Responsibility for Content
You retain all rights and responsibility for the content, text, status definitions, and metadata you upload to the Service. You represent and warrant that you have all necessary rights to display such content and that it does not violate any third-party rights or laws.
4.3. Prohibition on Fraudulent Statuses
You agree not to use the Service to mislead, defraud, or confuse end-users (e.g., marking items as "Shipped" to avoid chargebacks when they have not shipped). We reserve the right to terminate accounts immediately without refund if we suspect fraudulent usage.
5. API USAGE, LIMITS, AND GEOLOCATION
5.1. Rate Limits & Overage
Your use of the API and Service is subject to the limits defined in your Subscription Plan (e.g., "Essential" or "Professional").
If you exceed your plan’s limits (e.g., status updates per month), overage charges will apply automatically at the rates specified in our Pricing.
You are responsible for coding your integrations efficiently. We do not offer refunds for "accidental" loops or excessive API calls caused by bugs in your code.
5.2. Right to Throttle
We reserve the right to temporarily suspend or throttle your access to the API if we detect usage patterns that threaten the stability of our infrastructure, including denial-of-service attacks, infinite loops, or excessive polling.
5.3. Geolocation & Map Features
If you utilize our Geolocation or Map features to track assets or personnel:
- You are solely responsible for obtaining all necessary consents from the individuals being tracked.
- You bear full liability for compliance with local surveillance and privacy laws.
- Waitcenter provides the infrastructure only and claims no responsibility for the accuracy of GPS coordinates or unlawful tracking.
6. SERVICE AVAILABILITY & NOTIFICATIONS
6.1. Uptime Disclaimer
Unless you have signed a separate Enterprise SLA, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee 100% uptime. For "Essential" and "Professional" plans, Waitcenter assumes no liability for downtime, maintenance windows, or service interruptions.
6.2. No Guarantee of Real-Time Performance
While we utilize technologies like WebSockets for speed, we do not guarantee "real-time" delivery of updates. Latency may occur due to network conditions, third-party cloud providers, or device constraints.
6.3. Notification Delivery
Emails, SMS, and Webhook deliveries rely on third-party providers (e.g., Twilio, SendGrid). We do not guarantee the delivery of every notification. We are not liable for damages caused by missed or delayed notifications.
7. DATA PROTECTION & PRIVACY
7.1. Roles of Parties
To the extent that any data processed by the Service constitutes Personal Data under GDPR or similar laws:
- You (Customer) are the Data Controller. You determine the purpose and means of processing.
- Waitcenter is the Data Processor. We process data only on your behalf and instructions.
7.2. Data Retention
We do not guarantee the indefinite storage of historical status data. We reserve the right to delete, aggregate, or archive status history after a specific retention period (e.g., 30, 90, or 365 days depending on your plan). If you delete a Workflow or Organization, we are under no obligation to recover that data.
8. SUBSCRIPTION, PAYMENT, AND TERMINATION
8.1. Fees
You agree to pay the fees applicable to your subscription plan. All fees are non-refundable except as required by law.
8.2. Termination
You may cancel your subscription at any time. We reserve the right to suspend or terminate your account immediately, without notice and without liability, if you violate these Terms (specifically Sections 3, 4, or 5).
9. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WAITCENTER, ITS AFFILIATES, OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID US IN THE 30 DAYS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100.00).
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Waitcenter and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with:
- Your access to or use of the Service;
- Your violation of these Terms;
- The content, accuracy, or legality of your Status Updates and Metadata;
- Your violation of any third-party right, including without limitation any privacy or intellectual property right;
- Any claim that your use of the Service caused damage to a third party (including your end-customers).
12. GENERAL PROVISIONS
12.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.
12.2. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
12.3. Entire Agreement
These Terms constitute the entire agreement between you and Waitcenter regarding the Service and supersede all prior agreements.
